Please read these Terms of Service ("Terms") carefully before using the Marketlyzer platform at marketlyzer.ai ("the Service"). The Service is operated by Neurotext Consulting Ltd (Company No. 15922577), a company registered in England and Wales ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

2. Service Description

Marketlyzer is a B2B SaaS location intelligence platform that helps businesses evaluate locations for expansion. Our Service includes:

• Location-based market analysis with competitor mapping and gap identification
• Foot traffic analysis and popular times data
• Demographic, weather, and cost of living insights
• Satellite imagery analysis and building footprint data
• Pedestrian infrastructure assessment
• AI-powered chat assistant and market recommendations
• PDF report generation and location comparison tools
• Shareable analysis reports and collaboration features

3. User Accounts

To access the Service, you must create an account providing your name, email address, and a secure password. You are responsible for:

• Providing accurate, complete, and current information
• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Subscription Plans and Payments

The Service is offered on a subscription basis across multiple tiers (Starter, Growth, Professional, and Enterprise). Subscriptions are billed in advance on a recurring monthly or annual basis.

All payments are processed securely through Stripe. You must provide accurate and complete billing information. We do not store your payment card details on our servers.

We reserve the right to change our pricing at any time. Any price changes will be communicated to you at least 30 days in advance and will apply from your next billing cycle.

Each subscription plan includes a usage quota measured in kilometres of analysis radius. Usage is tracked and displayed in your account dashboard.

5. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

• Your account will remain active until the end of your current billing period
• You will retain access to previously generated analysis reports
• No further charges will be made

Refunds are generally not offered for subscriptions once the billing period has commenced, except where technical issues have materially prevented your use of the Service during that period, or where required by applicable consumer protection laws.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to our systems, networks, or other users' accounts
• Interfere with or disrupt the integrity, performance, or availability of the Service
• Use automated tools (bots, scrapers) to access the Service beyond the provided APIs
• Resell, redistribute, or sublicense access to the Service or its data without written permission
• Transmit malware, viruses, or other harmful code
• Circumvent rate limits or other technical restrictions
• Misrepresent your identity or affiliation

7. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is the exclusive property of Neurotext Consulting Ltd and is protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with your subscription plan.

8. Your Data and Content

You retain ownership of any data or content you submit to the Service. By using the Service, you grant us a limited licence to process your inputs (locations, categories, search parameters) solely for the purpose of generating your analysis reports.

Analysis reports generated by the Service are provided for your use under your subscription. You may share reports using our built-in sharing features.

9. Data Sources and Accuracy

Our Service aggregates data from multiple third-party sources including Google Places, OpenStreetMap, WorldPop, Open-Meteo, Numbeo, and others. While we strive for accuracy:

• We do not guarantee the completeness, accuracy, or reliability of third-party data
• Market analysis, foot traffic data, and AI-generated insights are provided as informational tools and should not be the sole basis for business decisions
• Data availability varies by location and may be limited in some regions

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you have paid us in the 12 months preceding the claim
• We are not liable for any business decisions made based on data or insights provided by the Service

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Indemnification

You agree to indemnify and hold harmless Neurotext Consulting Ltd and its directors, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or your use of the Service.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by posting the updated Terms on this page and, where possible, notifying you by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
